ToneLot Standard Non-Exclusive Licensestandard-nonexclusive-v2-2026-08-261. License grant
After full payment, the producer grants the buyer a personal, worldwide, perpetual, non-exclusive, non-transferable license to use the purchased beat in one original song created by the buyer. The license applies only to the buyer account and the song created under this license.
The producer may continue using and licensing the beat to other people. This purchase does not make the beat exclusive and does not transfer ownership of the beat.
2. Allowed uses
The buyer may write, record, edit, mix, master, distribute, publicly perform, promote, and monetize one original song that incorporates the beat. The completed song may be released through streaming services, download stores, physical media, radio, live performances, music videos, and promotional social-media content.
This version does not impose a numerical cap on streams, downloads, music videos, or live performances for the licensed song.
3. Ownership
The producer keeps all ownership in the original beat, including the producer’s rights in the underlying musical composition and sound recording. The buyer keeps ownership of the buyer’s original lyrics, vocals, and other new material, subject to the producer’s continuing ownership of the beat.
This license does not assign either party’s copyrights or establish songwriter or publishing splits. Any publishing, royalty, collaborator, or split-sheet arrangement beyond this license must be agreed separately in writing by the affected parties.
4. Restrictions
The buyer may not sell, share, upload, sublicense, lease, or redistribute the beat by itself or in a way that lets another person extract or reuse it. The buyer may not claim to have produced or exclusively own the beat.
The buyer may not register the beat or the completed song with an automated content-identification system, including YouTube Content ID, without the producer’s separate written permission. The buyer may not use the licensed song to issue claims against the producer or another person who lawfully licensed the same beat.
5. Producer credit
Where the service or format supports credits, the buyer must provide reasonably visible producer credit using the producer name shown on the issued license. Minor formatting changes are allowed, but the producer identity may not be removed or falsely attributed.
6. Producer rights statement
By listing the beat, the producer states that the producer controls the rights needed to grant this license and has permission for any third-party material included in the beat. ToneLot does not independently verify ownership or sample clearance.
7. Payment, refunds, and reversals
The license becomes effective only after ToneLot confirms full payment. A full refund, payment reversal, or successful chargeback ends the license and the buyer must stop exploiting the licensed song unless the producer agrees otherwise in writing or applicable law requires a different result.
8. Breach and records
A material violation of this license may end the buyer’s permission after any notice or cure rights required by applicable law. ToneLot keeps the issued license record, payment identifiers, and the exact version accepted at checkout so the buyer and producer can identify the transaction later.
ToneLot provides the marketplace and payment record. The license grant is from the producer to the buyer. The ToneLot User Agreement and Privacy Policy also apply to the transaction.
