User Agreement
By using ToneLot, you agree to the following terms and conditions. Please read them carefully.
Account
- You must be at least 13 years old to create a ToneLot account
- Users ages 13–17 may create accounts and use ToneLot’s posting, commenting, buying, and selling features
- You must provide an accurate date of birth; Stripe payout setup and withdrawals remain locked until the account holder is at least 18
- You must provide accurate information when creating an account
- You must verify control of your email address before uploading or selling beats, starting conversations, or sending direct messages
- Usernames are unique and case-insensitive; changing capitalization does not create a different username
- You are responsible for maintaining the security of your account
- If you enable two-factor authentication, you are responsible for keeping your authenticator setup key private and maintaining access to your authenticator app; account recovery may require ownership verification
- You may permanently delete your account from Settings after resolving any held seller balance or pending payout; limited purchase and transaction records may be retained for completed licenses, fraud prevention, disputes, tax, and legal obligations
- We may suspend or terminate accounts for violations of our policies
Content
- You retain ownership of content you upload
- You grant ToneLot a license to display and distribute your content on the platform
- You may not upload illegal or infringing content
- Listing artwork may not contain pornography, nudity intended to be sexual, nonconsensual intimate imagery, sexual exploitation, child sexual abuse material, graphic gore, hateful imagery, threats, doxxing, impersonation, malware, or content you do not have the right to use
- New listing artwork is held from public display until an administrator reviews it; ToneLot may reject and permanently delete prohibited artwork while leaving the audio listing on its default cover
- Severe or repeated content violations may result in immediate account suspension, removal of live listings, and preservation of limited records needed for safety, fraud prevention, disputes, or legal compliance
Beat Licenses
- Every new marketplace purchase uses the ToneLot Standard Non-Exclusive License shown on the beat-details page before checkout
- The producer is the licensor and the buyer is the licensee; ToneLot provides the marketplace, payment processing, and transaction record but does not own the listed beat
- By publishing a listing, the producer states that they control the composition and recording rights needed to grant the license and that any samples or third-party material have been cleared
- By checking the license box and continuing to payment, the buyer accepts the displayed license version; a permanent copy, acceptance time, and document fingerprint are stored with the completed purchase
- A Standard Non-Exclusive License covers one original song and does not transfer ownership or stop the producer from licensing the beat to other buyers
- A refund, reversal, or successful chargeback may end the related license as described in the issued agreement
Copyright and DMCA
- Rights owners and authorized agents may submit written takedown notices through the Copyright / DMCA page; uploaders may submit counter-notices when removal resulted from mistake or misidentification
- ToneLot may preserve a claim, disable access to reported material, notify the uploader, review a counter-notice, and restore material in the time and circumstances provided by applicable law
- Users must not knowingly make material misrepresentations in a takedown notice or counter-notice
- ToneLot may suspend or terminate repeat infringers in appropriate circumstances and may prevent a removed listing from being republished
- Submitting a notice does not guarantee removal and does not mean ToneLot has made a final legal finding
Payments
- Producers may upload and publish beats without connecting Stripe
- For producers ages 13–17, marketplace purchases may continue, but the producer’s seller share is recorded as held ToneLot earnings and cannot be withdrawn or transferred to Stripe before age 18
- After turning 18, the producer must complete Stripe identity, age, tax, and payout-method verification before held earnings can be moved into a Stripe seller wallet
- ToneLot keeps a 20% platform fee from each completed sale
- An eligible adult producer’s 80% seller share is routed to their connected Stripe wallet; an under-18 producer’s 80% share is held on ToneLot’s platform balance until payout eligibility is completed
- Seller funds can appear as pending before Stripe makes them available, and only available funds can be withdrawn
- Producers initiate standard bank payouts from ToneLot, while Stripe verifies payout eligibility and controls processing and arrival timing
- An eligible adult producer must connect PayPal through PayPal login so ToneLot can confirm account control, a confirmed payout email, and the PayPal payer ID. A PayPal identity may be connected to only one ToneLot account, and changing the destination starts a seven-day security hold
- The first PayPal payout is reserved for a one-time administrator review of the account, destination, and earnings ledger before money is sent. Rejected payouts are restored to the producer's ToneLot balance
- After that review is approved, ToneLot automatically attempts to send the full cleared PayPal-eligible balance during its daily payout check after the seven-day refund hold; the balance must be at least $5.00
- ToneLot charges a 2% fee on each PayPal withdrawal, with a $0.25 minimum and $1.00 maximum. The exact fee is shown before submission and deducted from the cleared balance being withdrawn; PayPal may separately apply currency-conversion costs
- PayPal delivery depends on PayPal availability, account eligibility, and ToneLot's payout funding. A failed attempt does not intentionally remove the producer's ToneLot balance and may be retried after the issue is resolved
- ToneLot does not charge producers an additional fee for standard bank withdrawals
- Eligible producers may instead choose an Instant Payout to a supported bank account or debit card; a 1% instant fee is shown before confirmation and deducted from the requested wallet amount
- Instant Payouts typically arrive within 30 minutes but are not guaranteed, and availability, limits, and arrival timing depend on Stripe and the receiving financial institution
- Producers are responsible for accurate identity, tax, and banking information and for complying with Stripe’s terms
- Refunds, reversals, disputes, negative balances, fraudulent transactions, or provider adjustments may delay, reduce, or reverse seller funds
- Stripe or a bank may still apply provider charges, payout restrictions, or limits even though ToneLot does not impose a minimum withdrawal amount
- Held earnings are an internal marketplace ledger balance, not a bank account, stored-value account, or interest-bearing account
- Held earnings remain subject to refunds, reversals, disputes, fraud review, provider adjustments, legal holds, and applicable unclaimed-property requirements
Prohibited Conduct
- No harassment, abuse, or hate speech
- No fraudulent or deceptive activity
- No attempts to circumvent platform security
Founding Producers and Referrals
- The first 100 eligible producers who verify their email and publish a live beat may receive a permanent numbered Founding Producer badge and profile treatment
- An eligible beat must remain public and ready, include the producer’s rights attestation, and not be removed for a rules or rights violation when ToneLot checks eligibility
- An invite is attributed once when the new account is created through a valid producer link; self-referrals, duplicate accounts, automated signups, spam, and deceptive invitations are prohibited
- A referral enters review when the invited producer completes their first eligible paid beat-license sale of at least $25.00 to someone other than the inviter. The inviter, producer, and buyer must be three distinct, verified accounts that were each created at least seven days before the sale; a signup or upload alone earns no reward
- Every potential reward is held for at least 14 days and reviewed for linked accounts, reused payment methods, shared payout identities, refunds, disputes, and manipulation. A sale entering review does not guarantee a reward
- Only an approved referral adds a one-time $5.00 credit to the inviter’s ToneLot balance. Normal age, identity, Stripe or PayPal, and payout checks still apply before withdrawal
- Promotional credits, including $5.00 founder and referral bonuses and balance bonuses added by an administrator, remain non-withdrawable until the recipient completes a legitimate paid beat sale to another user and that sale clears ToneLot’s seven-day refund window, except for a limited one-time test payout explicitly authorized by ToneLot for a specific account. Once unlocked, the promotional credit is added to the producer’s cleared sale earnings
- Purchases involving dummy, controlled, colluding, or otherwise linked accounts do not qualify. If a qualifying sale is refunded, disputed, reversed, fraudulent, or manipulated, ToneLot may reject, withhold, or reverse the referral credit. Founder badge and placement benefits themselves have no cash value
Comments and Community Conduct
- General profanity and casual language are allowed, but protected-class slurs and hate speech are not
- No targeted harassment, credible threats, encouragement of self-harm, doxxing, impersonation, or repeated unwanted contact
- No spam, scams, malicious links, or attempts to manipulate engagement
- Comments and replies may be automatically screened and may be removed when they violate these rules
- ToneLot may restrict commenting or suspend accounts for repeated or severe violations
Changes
- We may update these terms at any time. Continued use means acceptance of changes.
